Illinois Sales Tax Nexus

Illinois Risk Profile
The Trigger: $100,000 in annual gross sales.
(Note: Illinois officially repealed the “200 transactions” rule on January 1, 2025. It is now a revenue-only state.)
Physical Nexus: Standard triggers apply (offices, employees, inventory). Illinois is a massive distribution hub; having inventory in a local third-party warehouse (including FBA) establishes immediate physical nexus regardless of sales volume.
Effective Date: October 1, 2018 (Economic); January 1, 2021 (Leveling the Playing Field).
Look-back Exposure: Generally 3 years. Illinois is NOT a member of the Streamlined Sales Tax (SST) agreement and is widely considered one of the most audit-heavy states in the Midwest.
Danger Level: SEVERE (The “Leveling the Playing Field” Trap)
Illinois has two different sales tax rates: the 6.25% Use Tax for purely remote sellers and the Retailers’ Occupation Tax (ROT), which can exceed 11% in Chicago. If you have even one item in an Illinois warehouse, the state may demand the higher ROT rate on all sales, creating massive back-tax exposure if you only collected the lower Use Tax rate.
The Trap: Local Tax Complexity
Unlike most states, Illinois does not always follow destination-based rules for every seller. The interplay between where the order is accepted and where the inventory is located can change your tax rate from 6.25% to 10.25%. Failing to correctly identify your “fulfillment origin” is a primary cause of audit failures.
Illinois State Tax Nexus Summary
Illinois has a uniquely complex sales tax system known as the “Leveling the Playing Field for Illinois Retailers Act.” Remote sellers must carefully distinguish between the state’s Use Tax and its local Retailers’ Occupation Tax (ROT).
Sales Tax Nexus
Remote sellers and marketplace facilitators establish nexus in Illinois if they meet the following threshold in the current or previous calendar year:
- Economic Threshold: $100,000 or more in cumulative gross receipts from Illinois sales.
- Update: As of January 1, 2025, Illinois no longer utilizes a transaction count (formerly 200 sales) to determine nexus.
Physical nexus is triggered immediately by having a physical presence in the state, such as an office, remote employees, or inventory stored in an Illinois warehouse (including Amazon FBA).
Corporate Income Tax
Illinois imposes a corporate income tax on businesses with substantial economic presence ($500,000+ in sales or 250+ transactions). Corporations exceeding these thresholds must file a return, even if they have no physical location in the state.
Taxability of Groceries and SaaS
Illinois applies a reduced 1% tax rate to unprepared groceries. While the state is generally business-friendly regarding SaaS and digital products (which are often exempt), the complexity of its local tax rates often leads to compliance errors.
Conclusion
Because Illinois is not an SST member and maintains a hybrid origin/destination-based tax system, it is one of the highest-risk states for audits. We recommend a full nexus and fulfillment review to determine whether you should be collecting the state’s 6.25% Use Tax or the higher local ROT rates.
